GovernanceIntroductionThe governance of CCGG is overseen by an elected Board of Directors consisting of no more than 29 elected or appointed directors. Ex-officio and emeritus members may serve on the Board, but are not voting members. Any person who is a qualified member of CCGG with voting privileges may be a candidate for Director. The elected officers of CCGG shall be President, Past-President, President-Elect, Vice-President, Secretary, and Treasurer. These elected officers shall serve on the Board of Directors. All officers shall be elected from the membership of CCGG. As determined by the Board of Directors, CCGG may have two or more Vice-Presidents, Assistant Secretaries, Assistant Treasurers, or other officers. The Executive Committee consists of the President, President-Elect, the immediate Past-President, Vice–President, Secretary, and Treasurer. The Executive Director shall be an ex-officio member. A quorum for the Executive Committee shall be a majority. In the intervals between the meetings of CCGG and its Board of Directors, the Executive Committee shall have the authority to take such actions as are necessary for the conduct of CCGG in accordance with the Bylaws. The Board of Directors shall consist of all elected officers, the Executive Director (non-voting if salaried position), two student members, appointed members, members-at-large, and at least one member representing each of the following higher education systems in California who shall be designated a System Representative:
Terms of Office
Meetings of the members of CCGG shall be presided over by the President, or in his/her absence by the President-Elect, or in the absence of both by a member chosen by a majority of the members present. The Secretary of CCGG chosen by the membership shall act as Secretary of the meeting. In the absence of the Secretary, the presiding officer shall appoint a person to act as Secretary for the meeting. A quorum of the members CCGG shall consist of one quarter of the eligible voting members of the organization; in the absence of a quorum, any action required or permitted to be taken by the members of CCGG may be taken if a majority of the eligible voting members of CCGG shall consent in writing (including E-mail communications) to such action. All members’ votes will be recorded by name and retained by the Secretary of CCGG. Voting by proxy shall not be permitted. Subject to the provisions imposed by law, by the Articles of Incorporation, or by these Bylaws, the activities and affairs of CCGG shall be conducted by, and all powers shall be exercised by, or under, the direction of the Board of Directors. The committees of CCGG shall consist of those specified in the Bylaws. Committee members shall be appointed by the President, in consultation with the chairperson, no later than 30 days following the Annual Meeting. All categories of members shall be eligible to serve on committees, and terms of office shall be for two years, unless otherwise specified. The President shall be an ex-officio member of all committees, except the Nominating Committee, but he/she may designate the Vice-President to serve in his/her place. Appointment of committee members shall be made with due regard to regional, institutional and interdisciplinary variation of the educational activities in California so that committees are as representative of the broad spectrum of education in gerontology and geriatrics as is possible.
